1. Your agreement with Veriad
These terms govern access to the Veriad website, platform, demonstrations, and related services provided by Veriad, Inc. (“Veriad”, “we”, “us”). By accepting these terms when registering, ordering, or otherwise using a service that references them, you agree to them. If you act for a business, you confirm that you have authority to bind that business.
A separately signed customer agreement takes precedence over these terms where they conflict. An order form specifies the services, fees, subscription period, and any agreed limits. A data processing agreement, where entered into, governs our processing of personal data on your behalf. Our Privacy Policy explains our handling of personal information.
2. Services and eligibility
Veriad helps business teams plan, create, review, manage, and measure advertising. Depending on your subscription, services may include campaign analysis, creative and compliance checks, reporting, and connected workflows. Access to a demonstration does not imply that every demonstrated feature is included in a subscription.
You must be at least 18 and legally able to enter this agreement. Keep account details accurate, protect credentials, and give access only to authorised users. Tell us promptly about suspected account compromise. Your organisation is responsible for its users and the instructions they give through its workspace.
3. Subscriptions, fees, and cancellation
The price, billing schedule, renewal arrangements, usage allowances, and cancellation process are those disclosed in your order or accepted at purchase. Taxes and third-party charges, including advertising spend, are additional unless expressly included. You authorise payment of agreed charges using the payment method you supply.
Any trial or pilot has the limits and duration stated in its offer. A trial creates no obligation to purchase unless you have expressly accepted paid conversion terms. Fee changes apply prospectively with notice and subject to your agreement. Contact us before your renewal deadline if you need help cancelling.
Unless your agreement or applicable law provides otherwise, fees already paid are not refundable. Cancelling a subscription does not cancel a commitment or campaign with an advertising platform; manage those commitments separately.
4. Your content and permissions
You retain your rights in the assets and information you provide, including advertising creative, brand guidelines, briefs, campaign records, and uploaded documents. You give Veriad permission to host, process, reproduce, and transmit that material as needed to deliver the services and outputs you request, including through providers involved in that delivery.
You are responsible for having the rights, notices, and permissions required to provide the material and connect accounts. Only upload personal or confidential information you are authorised to share. Veriad does not use your campaign content to train AI models.
5. AI output and human review
AI-generated copy, assessments, recommendations, and reports may contain errors, omissions, or outdated information. Outputs may resemble material generated for other users. Review the underlying evidence, usage rights, and suitability before relying on or publishing an output.
Compliance checks support your review process and do not constitute legal advice, regulatory clearance, or a guarantee that an advertisement complies with every applicable rule. You remain responsible for final approval, substantiating claims, required disclosures, audience selection, spending decisions, and obtaining specialist advice when needed. Veriad does not guarantee platform approval or campaign performance.
6. Connected accounts and third parties
Connecting an advertising, analytics, storage, or collaboration account authorises the access you approve through that provider. Review permissions and workflow settings before enabling actions. You are responsible for the instructions you and your authorised users give, including instructions that publish content or change campaigns where supported.
Third-party platforms apply their own terms, charges, and restrictions. Their availability, permissions, and APIs may change. Disconnecting an integration stops future access through that connection but does not reverse completed actions or automatically delete information already imported into Veriad.
7. Acceptable use
Use Veriad lawfully and within your agreed access and usage limits. You must not:
- Upload unlawful material, infringe intellectual property or privacy rights, or use the service for deceptive advertising, impersonation, harassment, or unlawful discrimination.
- Introduce malicious software, disrupt service, bypass access controls, or access another organisation’s accounts or data without permission.
- Scrape or extract service data beyond your authorised access, resell access without agreement, or reverse engineer the service except where law expressly permits it.
- Use connected services in breach of their rules or provide instructions intended to evade legal or platform safeguards.
We may investigate misuse and restrict affected activity to protect customers, service integrity, or legal obligations.
8. Veriad’s intellectual property
Our software, site design, documentation, branding, and other original service materials belong to Veriad or its licensors. Your subscription gives you permission to use the service for its agreed purpose; it does not transfer ownership of the underlying technology.
You may provide voluntary feedback that we can use to improve the service without payment. This does not give us ownership of your confidential campaign materials. Use of a customer’s name or logo for publicity requires permission or a separate agreed contractual right.
Report suspected infringement to rohan@veriad.com, identifying the work, the disputed material and its location, your authority to report it, and your contact details.
9. Availability and warranties
We may maintain, update, or replace service features. Any committed service levels are set out in your customer agreement. Unless that agreement states otherwise and to the extent permitted by law, the service is supplied as available, without a warranty of uninterrupted operation, fitness for a particular purpose, or error-free results.
Nothing in these terms excludes a warranty, remedy, or consumer protection that cannot legally be excluded.
10. Responsibility and liability
Subject to mandatory law and any separately agreed liability provisions, Veriad is not liable for indirect or consequential loss, lost profits, lost opportunities, or losses arising from decisions made in reliance on unverified outputs. Our aggregate liability arising from the services is limited to the fees you paid for the services giving rise to the claim.
These limitations do not exclude liability for fraud, death or personal injury caused by negligence, or any other liability that law does not allow us to limit. Each party remains responsible for its own legal obligations.
11. Suspension and termination
We may suspend access where reasonably necessary to address a security threat, unlawful activity, material breach, or overdue payment. Where practical and lawful, we will explain the reason and allow an opportunity to resolve it. Termination and notice rights in your customer agreement continue to apply.
When access ends, your right to use the affected service ends. Contact us about export or deletion before closure; retention is described in our Privacy Policy and any data processing agreement. Accrued payment obligations and provisions concerning ownership, liability, and disputes survive termination.
12. Governing law and updates
Unless a signed agreement specifies otherwise, California law governs these terms, excluding conflict-of-law rules. Mandatory protections applicable in your jurisdiction remain available. Contact us first so we can try to resolve a dispute.
We may revise these terms and will update the date above. Material changes affecting an ongoing subscription will be communicated with reasonable notice before taking effect. If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision does not waive it.
